1. Agreement and Acceptance
These Terms of Service ("Terms") govern your use of the BMC Employee Utility mobile application (the "App"), provided by BMC Group ("Company," "we," "us," "our").
By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

2. App Purpose and Scope
The App is an internal employee utility provided by your employer for:
- Employee meal registration
- Gate access request and approval workflows
- Account management and password changes
- Push notifications for work-related updates
The App is intended solely for authorized company employees. Personal or commercial use is not permitted.
3. Eligibility
You may use the App only if:
- You are an authorized employee of BMC Group
- You are at least 18 years of age
- You have not violated these Terms or been prohibited from using the App
- You have a valid employee account provided by your company
If you are no longer employed, your access will be terminated immediately.
4. Account Responsibilities
4.1 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- Not sharing your password with others
- Immediately notifying IT if you suspect unauthorized access
- Logging out on shared devices
The Company is not responsible for unauthorized access resulting from your failure to protect your credentials.
4.2 Account Information
You agree to:
- Provide accurate and current information
- Notify IT of changes to your employment status
- Not create multiple accounts
- Not impersonate other employees
4.3 Acceptable Use
You agree NOT to:
- Use the App for personal commercial purposes
- Attempt to hack, bypass, or reverse-engineer the App
- Disrupt or overload the App infrastructure
- Access or use accounts not assigned to you
- Upload malware or harmful code
- Violate company policies or applicable law
- Share your account with non-employees
Violations of acceptable use may result in immediate account suspension or termination.
5. Service Availability
5.1 No Guaranteed Uptime
The App is provided "as-is" and may be unavailable for:
- Scheduled maintenance
- Emergency system repairs
- Infrastructure updates
- Security incidents
We will make reasonable efforts to schedule maintenance during off-hours and provide advance notice when possible.
5.2 No Service Level Agreement
We do not guarantee:
- Specific response times for requests
- Approval workflow timelines
- Notification delivery speed
- 24/7 availability
5.3 Suspension or Termination
We may suspend or terminate your access:
- Upon termination of your employment
- For violation of these Terms or company policies
- For unauthorized or fraudulent use
- For security investigations
- Without prior notice if necessary for security
6. Feature Changes and Updates
6.1 Feature Modifications
The Company may:
- Add new features or modules
- Modify or remove existing features
- Change user interface or workflows
- Disable features via feature flags
We are not required to maintain specific features or provide advance notice of changes.
6.2 App Updates
You are responsible for:
- Installing security and functionality updates
- Reviewing new features and privacy impacts
- Accepting updated terms of service (if material changes occur)
The App may not function correctly on outdated versions of iOS or Android.
6.3 Data Compatibility
Updates may change data formats or require data migration. The Company is not responsible for data loss resulting from failure to update.
7. Intellectual Property
7.1 Ownership
The App, including all code, design, and content, is owned by the Company or its licensors. Your use grants you no ownership rights.
7.2 User Content
You retain ownership of meal registration and gate request data you submit. You grant the Company a non-exclusive, perpetual license to process and store this data for operational purposes.
7.3 Restrictions
You may not:
- Copy, modify, or distribute the App
- Create derivative works
- Reverse-engineer or disassemble the App
- Use the App to create competing services
7.4 Company Content
All documentation, help text, and interface copy are Company property and protected by copyright.
8. Disclaimers
8.1 As-Is Service
THE APP IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
- Implied warranty of merchantability
- Implied warranty of fitness for particular purpose
- Warranty of non-infringement
- Warranty of accuracy or completeness
8.2 Data Loss
WE DO NOT GUARANTEE:
- Data will not be lost
- Backups will be available
- Deleted data can be recovered
- Data integrity during system failures
8.3 Third-Party Services
If the App uses third-party services (payment, notifications, hosting), we are not responsible for:
- Third-party service outages
- Third-party data breaches
- Third-party policy violations
8.4 No Guarantee of Success
The App does not guarantee:
- Approval of gate requests
- Successful meal registration
- Timely notifications
- Specific business outcomes
9. Limitation of Liability
9.1 Exclusion of Damages
EXCEPT WHERE PROHIBITED BY LAW, WE ARE NOT LIABLE FOR:
- Loss of data, profits, or revenue
- Indirect, incidental, or consequential damages
- Special or punitive damages
- Business interruption or lost opportunities
- Claims arising from your misuse of the App
9.2 Liability Cap
OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID FOR THE APP, OR ZERO IF THE APP IS PROVIDED AT NO COST.
9.3 Assumptions of Risk
You assume all risk of:
- Using the App
- Relying on App data for decisions
- Data loss or security incidents
- Service interruptions
10. Indemnification
You agree to indemnify and hold harmless the Company, its officers, employees, and agents from any claims arising from:
- Your violation of these Terms
- Your violation of applicable law
- Your misuse of the App
- Your breach of company policies
- Your infringement of third-party rights
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Viet Nam, without regard to conflict-of-law principles.
Any legal action or proceeding shall be brought exclusively in the competent courts of Vietnam, and you consent to the jurisdiction and venue of such courts.
12. Dispute Resolution
Before pursuing litigation:
- You agree to attempt good-faith resolution with the Company

- Provide clear description of the dispute
- Allow 30 days for resolution
If resolution fails, either party may pursue legal remedies.
13. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remainder of the Terms will remain in effect.
14. Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the App and supersede all prior agreements, understandings, and negotiations.
15. Modifications to Terms
The Company may modify these Terms at any time by:
- Posting updated Terms on this page
- Updating the "Last Updated" date
- Notifying you via email or app notification (for material changes)
Your continued use of the App after changes constitutes acceptance of the updated Terms.

17. Apple Store Compliance
This App is subject to Apple's Standard License Agreement, which is available in the App Store. These Terms do not modify or replace Apple's standard terms.
In the event of conflict between these Terms and Apple's terms, Apple's terms apply to the extent permitted by law.
